COURSE DESCRIPTION
It should be noted that in recent years, increasing attention has been paid to business administration and legislative bodies, as well as to the principles and policies of corporate governance. There are many different models of corporate governance; they are all designed to regulate the relationship between the company and its stakeholders. Governance models are beginning to enhance shareholder wealth with an emphasis on owner rights as they are widely adopted in the United States and the United Kingdom. Other models in Germany or Japan include their focus on other stakeholders: labor and bankers. This course also discusses the reasons why the Board of Directors formed one or two levels. It also includes a discussion of the structure of the Board of Directors, the committees, their roles, and various tasks, and focuses on the audit, appointment, and remuneration committees.
